The Luminary ROLI Ltd (ROLI & LUMI brands) Affiliate Program offers you, as a ROLI / LUMI  Affiliate (“Affiliate” or “you”) the chance to offer access to the exciting, inspiring and one-of-a-kind Eligible Products available at roli.com / playlumi.com and earn incentives at the same time, as further described herein. By becoming an Affiliate, you agree to these Luminary ROLI Ltd Affiliate Program Terms and Conditions.

Getting Started

Participating in the Luminary ROLI Ltd Affiliate Program is easy! Click "Apply" and register through our affiliate program network, Refersion.

After you complete the online application on the registration page, Luminary ROLI Ltd will review your application and, in its sole discretion, may accept you as an Affiliate, which is based on brand and demographic fit and shall be monitored on an ongoing basis. If you are chosen as an Affiliate, then Luminary ROLI Ltd will provide email approval through the Refersion network. Once approved, you will access your account and be given a unique URL (“Unique URL”) or Code to display on your website and social channels. When Customers use your Unique URL or Code to purchase the eligible ROLI / LUMI products, which are referenced in the Commission Chart below (“Eligible Products”), you will earn the incentives as detailed in the Commission & Business Details on the application.  

Promoting ROLI / LUMI Products

You may direct consumers to ROLI / LUMI products through links to roli.com / playlumi.com (and associated subdomains) placed on your personal website or social media channels, provided that such websites or social media channels are aligned with the ROLI / LUMI brands, as determined by Luminary ROLI Ltd in its discretion. For example, you may not place links to the ROLI / LUMI websites, on sites or social media that contains obscene, vulgar, profane, discriminatory, illegal, harmful or violent material. 

You may not offer any discounts or publish other discount/voucher codes other than through your Unique URL or as provided and approved by Luminary ROLI Ltd. 

You may not purchase, own or bid any domain names with the words ROLI, LUMI, or its products’  or services’ brand names (including without limitation Seaboard, Seaboard RISE, Seaboard RISE 2, LUMI, LUMI Keys, LUMI Keys, Studio Editon) or any variations or misspellings thereof (“ROLI Brand Names”), such as, e.g., www.ROLIaffiliate.com, or www.affiliateseaboard.com, or otherwise use the ROLI Brand Names in the sub-domain of your website URL, such as http://seaboard.affiliate.com. You may not purchase any advertising keywords that contain the ROLI / LUMI Brand Names. You may not use any ROLI / LUMI Brand Names in your social media account name. You may not post on any official ROLI / LUMI social media platform in order to attempt to drive consumers to your website or social media. You may not directly link to the ROLI / LUMI websites from your paid social media ads.

You may use correctly spelled ROLI / LUMI Brand Names after the domain of your website’s URL, e.g., http://www.affiliate.com/ROLIproducts. You may use the ROLI / LUMI Brand Names on your website or social media, provided that such uses are in accordance with ROLI / LUMI brand guidelines, which may be communicated to you from time to time.  This includes using the most up to date version of logos and not altering any promotional materials that may be given to you by Luminary ROLI Ltd. You agree to immediately cease use of any ROLI / LUMI Brand Names not in accordance with ROLI / LUMI brand guidelines upon request by Luminary ROLI Ltd, or upon termination of your Affiliate status.  

You may not make any representations or warranties regarding the ROLI / LUMI Eligible Products on Luminary ROLI Ltd’s behalf, without the prior written consent of Luminary ROLI Ltd.

You may give your own opinions about ROLI / LUMI Eligible Products. You agree to promote the Eligible Products and conduct business in a manner that reflects favorably at all times on Eligible Products and the good name, goodwill, and reputation of Luminary ROLI Ltd.  

You may not connect the ROLI / LUMI Brand Names with any products or services not aligned with the ROLI / LUMI brand, for example, grey market, counterfeit or illegal products/services, products/services that promote violence, discrimination or harm, and products/services associated with pornography or obscenity .

ROLI may provide you with promotional materials, including but not limited to graphic banners, to be used on your website. You may not alter such promotional materials. Luminary ROLI Ltd reserves the right to review and approve any promotional materials that you may use that contain the ROLI / LUMI Brand Names, such as email copies, website and social media copies or promotions that may appear in offline communications such as press conferences. You agree to promptly provide ROLI / LUMI with such copies when requested by Luminary ROLI Ltd.

Incentives & Commission Fees

Eligible Luminary ROLI Ltd Affiliate program participants will earn incentives including, but not limited to, cash commissions dependent on the offer they have applied and been accepted for. Luminary ROLI Ltd reserves the right to change the incentives structure upon 14 days’ written notice to you. 

Eligble Luminary ROLI Ltd Affiliates earn a standard commission rate of 3% for all sales of Eligible Products, as listed in the chart below (excluding taxes and shipping fees). Luminary ROLI Ltd reserves the right to change the commission percentages upon 14 days’ written notice to you. Luminary ROLI Ltd may also, from time to time, and in its sole discretion, run certain exclusive promotions that Affiliate may be eligible to support sales.

Affiliates who have a high-performance rate may be eligible to earn a higher commission rate, as determined by Luminary ROLI Ltd on a case by case basis.

Commissions will be approved 30 days after delivery to accommodate for our return policy. Payment of approved orders will occur within 30 days of approval. For example, orders delivered in January will be approved by the end of February and commissions will be paid by the end of March. You will need to create a PayPal account in order to get paid your commissions, and you agree to provide Luminary ROLI Ltd with your PayPal account name and email or any other reasonably requested information in order to facilitate payment to you.

We reserve the right to reverse commissions due to returns, order cancellations, and erroneous order duplications. We also reserve the right to defer or refuse commissions for disputed orders or orders we reject and cannot fulfil.  

We reserve the right to refuse or reverse commissions in the event Affiliate is in breach of these Terms and Conditions.

Confidentiality

From time to time, Luminary ROLI Ltd may provide Affiliates with confidential and sensitive information around the ROLI / LUMI Eligible Products or certain ROLI / LUMI campaigns or offers, and Affiliate agrees not to release such confidential information into the public domain at any time before it becomes public by Luminary ROLI Ltd. Affiliate agrees to only use such confidential information for performing its obligations as an Affiliate and never for its own benefit.

Intellectual Property

The ROLI / LUMI Eligible Products, ROLI / LUMI Brand Names, domain names, and promotional materials constitute intellectual property owned by Luminary ROLI Ltd, including trademarks, copyrights, patents and trade secrets. Affiliate must respect the intellectual property of Luminary ROLI Ltd at all times, including full compliance with these Terms and Conditions and in accordance with any Luminary ROLI Ltd legal policies found here.

Legal Compliance

You agree to comply with all applicable laws, rules, and regulations. This includes, without limitation, applicable laws governing marketing emails (ie CAN-SPAM Act or the Privacy and Electronic Communications Regulation (PECR)), and all other anti-spam laws, privacy laws, and regulations, including the General Data Protection Regulation, and regulations governing false or deceptive advertising.  You agree to fully indemnify Luminary ROLI Ltd for any claims, losses or damages incurred by Luminary ROLI Ltd or its affiliates which arise out of your breach of these Terms and Conditions.

DISCLAIMER OF WARRANTIES/LIMITATION ON LIABILITY

NEITHER LUMINARY ROLI LTD NOR ANY PERSON ON LUMINARY ROLI LTD'S BEHALF HAS MADE OR MAKES ANY EXPRESS OR IMPLIED REPRESENTATION OR WARRANTY WHATSOEVER, WITH RESPECT TO THE AFFILIATE PROGRAM OR ROLI ELIGIBLE PRODUCTS, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR MINIMUM COMMISSIONS, WHETHER ARISING BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE OR OTHERWISE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED AND AFFILIATE ACKNOWLEDGES THAT IT HAS NOT RELIED ON ANY REPRESENTATION OR WARRANTY MADE BY LUMINARY, OR ANY OTHER PERSON ON LUMINARY’S BEHALF.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR OBLIGATIONS TO MAKE PAYMENT RIGHTFULLY DUE TO AFFILIATE UNDER THIS AGREEMENT, IN NO EVENT IS ROLI OR ITS LICENSORS LIABLE FOR ANY DIRECT, CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES, LOST PROFITS OR REVENUES OR DIMINUTION IN VALUE, ARISING OUT OF OR RELATING TO THIS AGREEMENT, REGARDLESS OF: (A) WHETHER THE DAMAGES WERE FORESEEABLE; (B) WHETHER OR NOT AFFILIATE WAS ADVISED OF THE POSSIBILITY OF THE DAMAGES; AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) ON WHICH THE CLAIM IS BASED, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE.

Termination

Luminary ROLI Ltd reserves the right to suspend or remove Affiliates from the ROLI / LUMI Affiliate Program at any time, without warning, in its sole discretion. Upon termination, you agree to immediately discontinue use of your Unique URL and all links to ROLI / LUMI websites, use of ROLI / LUMI Brand Names, and use promotional materials provided to you by Luminary. Affiliates terminated due to malicious publishing tactics will also have commissions revoked and face possible omission from the Refersion network.

Governing Law and Jurisdiction

The Program shall be governed by the laws of England and the parties agree to be subject to the exclusive jurisdiction of the English courts
